GENERAL TERMS OF USE

These Terms and Conditions govern your use of the this (the “Site”) and your relationship with Wooshare Limited (the “Company”, “we” or “us”). Please read them carefully as they as affect your rights and liabilities under the law whether or not you become a registered member of the Site.

1. Use of the Site

1. The Site is provided to you for your personal use subject to these Terms of Use. By using the Site you agree to be bound by these Terms Of Use.

2. Amendments

2.1 We may update these Terms of Use from time to time for legal or regulatory reasons
or to allow the proper operation of the Site. Any changes will become effective by publishing the amended Terms of Use on the Site. The changes will apply to the use of the Site after we have given notice. If you do not wish to accept the new Terms of Use you should not continue to use the Site after the date on which the change comes into effect, your continued use of the Site indicates your agreement to be bound by the new Terms of Use.

3. Registration

1. To register on the Site you must be over 13 years of age.

1. You must ensure that the details provided by you on registration or at any time are correct and complete.

1. You must inform us immediately of any changes to the information that you provided when registering by updating your personal details in order that we can communicate with you effectively.

1. By using the Site, you warrant and represent to us that you are eligible in terms of age to enter into this agreement and we shall not be responsible for making enquiries whether our members’ eligibilities are correct or for verifying the information supplied by our members.

3.5 By using the Site you agree that all details you provide to us and shown on the Site (“the Data”) shall be seen and used by third parties in accordance with the Conduct and Privacy Policy. You agree to be bound by the terms of the Conduct and Privacy Policy. You consent to being contacted by third parties and/or other members of the Site.
3.6 You may not:
3.6.1 select or use as your real name a name of another person with the intent to impersonate that person;
3.6.2 use as your real name a name that is subject to any rights of a person other than you without appropriate authorization; or
3.6.3 use as your real name a name that is otherwise offensive, vulgar or obscene.
3.7 The Company reserves the right to refuse registration of, or cancel a member’s registration in its discretion.
4. Password and security

1. When you register to use the Site you will be asked to create a username and a password. In order to prevent fraud, you must keep this username and password confidential and must not disclose it or share it with anyone. If you know or suspect that someone else knows your password you agree to notify us by contacting users@wooshare.com immediately.

1. If the Company has reason to believe that there is likely to be a breach of security or misuse of the Site, we may require you to change your username and password or we may suspend your account. We will not be responsible for your failure to comply with the security provisions.

1. You should ensure that you log out from your account at the end of each use particularly when accessing your account from a shared or public computer.

5. Intellectual property

5.1 The content of the Site is protected by copyright, trade marks, database right and other intellectual property rights. In particular, but without limiting the generality of the foregoing, “Wooshare”TM and “Connect and Collaborate”TM are trading names and marks of the Company and will be vigorously protected. You may retrieve and display the content of the Site on a computer screen store such content in electronic form on disk (but not any server or other storage device connected to a network) or print one copy of such content for your own personal, non-commercial use, provide you keep intact all and any copyright and proprietary notices. You may not otherwise reproduce, modify, copy or distribute or use for commercial purposes any of the materials or content on the Site without written permission from the Company.

5.2 By using our service, you understand and agree that any uploading or posting will be at your sole risk and we shall not be responsible to you in any way. Further, we do not provide any warranty as to your use of any third party content, service, or product that you obtain from the site. You may not post, distribute, reproduce, or sell in any way, any copyrighted material, trademarks, or other proprietary information that you do not have legal authorisation to use.

6. Your use of the Site

6.1 You may not use the Site for any of the following purposes:

6.1.1 disseminating any unlawful, harassing, libellous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material or behaviour, or otherwise breaching any laws or rights of any third party;

6.1.2 transmitting material that encourages conduct that constitutes a criminal offence, or otherwise breaches any applicable laws, regulations or code of practice;

6.1.3 interfering with any other person’s use or enjoyment of the Site;

6.1.4 making, transmitting or storing electronic copies of materials protected by copyright and other intellectual property rights without the permission of the owner;

6.1.5 advertising, transmitting chain letters or sending spam email;

6.1.6 for any illegal or unauthorised purpose. If you are an international user, you agree to comply with all local laws regarding online conduct and acceptable content;

6.1.7 to post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private information from any user of the Site;

6.1.8 to violate any laws in your jurisdiction (including but not limited to copyright laws);

6.1.9 to create deals or woodeals linking to affiliate programs, multi-level marketing schemes, sites/blogs repurposing existing stories (source hops), or off-topic content;

6.1.10 with the exception of accessing RSS feeds, you will not use any robot, spider, scraper or other automated means to access the Site for any purpose without our express written permission. Additionally, you agree that you will not:

(a) take any action that imposes, or may impose in our sole discretion an unreasonable or disproportionately large load on our infrastructure;

(b) interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site; or

(c) bypass any measures we may use to prevent or restrict access to the Site;

1. By using the Site, you agree to comply with our Conduct and Privacy Policy.

1. You agree to indemnity and hold us harmless without limitation from any loss, liability, claim, action or demand whatsoever made by any third party as a result of your breach of this clause 6 or any breach whatsoever of these Terms of Use.

7. Availability of the Site

1. Although we aim to offer you the best service possible, we make no promise that the services at the Site will meet with your requirements. We cannot guarantee that the services will be fault-free. If a fault occurs with the Site you should report it to support@wooshare.com and we will attempt to correct the fault as soon as we reasonably can.

1. Your access to the Site may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. We will attempt to restore the service as soon as we reasonably can.

7.3 We may remove any content and any account at any time for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such content), or for no reason at all. 8. The Company’s right to suspend or cancel your registration

1. We may suspend or cancel your registration immediately at our reasonable discretion or if you breach, or we have suspicion to believe you have breached or are about to breach, any of your obligations under these Terms of Use and/or our Conduct and Privacy Policy.

1. You can cancel your registration at any time by informing us in writing at [insert email address or other contact details]. If you do so, you must stop using the Company Site.

1. The suspension or cancellation of your registration and your right to use the Site shall not affect either party’s statutory rights or liabilities.

9. The Company’s liability

1. The Site provides content from other Internet sites or resources and while the Company tried to ensure that material included on the Site is correct, reputable and of high quality, it does not make any warranties or guarantees in relation to that content. If the Company is informed of any inaccuracies in the material on the Site we will attempt to correct the inaccuracies as soon as we reasonably can.

1. If we are in breach of these Terms of Use and subject to clause 9.5 below, we will only be responsible for any losses that you suffer as a result to the extent that they are a foreseeable consequence to both of us at the time you use the Site.

1. We shall not, in any event, be liable for any damages whatsoever, whether direct or indirect, as a result of:

1. any false or misleading information provided by any members of the Site or any interaction with other members of the Site;

1. any communications by members which may be offensive, criminal or which infringe third parties’ intellectual property rights;

1. any incorrect or inaccurate content published on the Site caused by users or members of the Site, or by any software or programs used in the Site;

1. the conduct, online or offline, or any user or member of the Site;

1. unauthorised access to member’s accounts or alteration to their accounts;

1. any technical problems causing injury or damage to users or members or third party’s computers resulting from the use or any use of the Site whatsoever;

1. the use of any third party communications or websites.

1. We do not make any warranties or representations or guarantees that you will obtain any specific results from use of the Site or becoming registered as a member of the Site.

9.5.1 In no event will the Company or its directors, employees or agents be liable to you or any third person for any indirect, consequential or general, exemplary, incidental, special damages, including for any lost profits or lost data arising from your use of the Site or the service, any platform applications or any of the Site content or other materials on, accessed through or downloaded from the Site, even if the Company is aware or has been advised of the possibility of such damages. notwithstanding anything to the contrary contained herein, the Company's liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to the Company for the service during your term of membership, but in no case will the Company's liability to you exceed £1000. You acknowledge that if no fees are paid to Company for the service, you shall be limited to injunctive relief only, unless otherwise permitted by law, and shall not be entitled to damages of any kind from company, regardless of the cause of action.
9.5.2 Notwithstanding the above, nothing in these Terms of Use excludes or limits the liability of the Company for:
(a) death or personal injury caused by the Company’s negligence;
(b) for any matter which it would be illegal or unlawful for the Company to exclude or attempt to exclude; or
(c) for fraud or fraudulent misrepresentation.
9.6 You agree to indemnify and hold the Company, its subsidiaries and affiliates, and each of their directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including legal fees, reasonably and properly incurred, arising out of or in connection with any user content, any third party applications, software or content you post or share on or through the Site, your use of the Site, your conduct in connection with the Site or with other users of the Site or any violation of this Agreement or of any law or the rights of any third party.
10. Third Party Websites

1. As a convenience to customers, the Site includes links to other websites or material which are beyond its control. The Company is not responsible for content on any site outside the Site.

11. Advertising and Sponsorship

1. Part of the Site may contain advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on the Site complies with relevant laws and codes. We will not be responsible to you for any error or inaccuracy in advertising and sponsorship material.

12. Applicable Law

12.1 These Terms of Use are subject to the law of England. We will try to solve any
disagreements quickly and efficiently. If you are not happy with the way we deal with any disagreement and you want to take court proceedings, you must do so within the United Kingdom.

13. International Use

1. We make no promise that materials on the Site are appropriate or available for use in locations outside the United Kingdom, and accessing the Site from territories where its contents are illegal or unlawful is prohibited. If you choose to access this site from locations outside the United Kingdom, you do so on your own initiative and are responsible for compliance with local laws. By using the Site, you are consenting to have your personal data transferred to and processed in the UK and other jurisdictions that may have lesser controls on personal data than the UK.

14. Entire Agreement
14.1 These Terms of Use constitute the entire agreement between you and Company regarding the use of the Site, superseding any prior agreements between you and Company relating to your use of the Site. The failure of Company to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision in that or any other instance. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. If any provision of these Terms of Use shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.
15. Miscellaneous

15.1 You may not transfer any of your rights under these Terms of Use to any other person. We may transfer our rights under these Terms of Use to another business where we reasonably believe your rights will not be affected.

15.2 If you breach these Terms of Use and the Company chooses to ignore this, the Company will still be entitled to use its rights and remedies at a later date or in any other situation where you breach the Terms of Use.

15.3 The shall not be responsible for any breach of these Terms of Use caused by circumstances beyond its reasonable control.

15.4 The Site is owned and operated by Wooshare Ltd.
